Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and MechTu Insights ("Company," "we," "our," or "us") regarding your use of our executive risk intelligence platform and related services.

By accessing or using our platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our services.

Platform Description

MechTu Insights provides an executive risk intelligence platform that:

  • Unifies operational, financial, and vendor data into a single command view
  • Provides early risk signal detection and predictive analytics
  • Offers scenario planning and budget capacity modeling tools
  • Generates action playbooks and strategic recommendations
  • Facilitates cross-product visibility and resource optimization
  • Monitors vendor exposure and dependency risks
  • Delivers real-time incident detection and response capabilities
  • Provides spend reallocation insights and budget optimization
  • Offers executive-level reporting and dashboard customization

User Accounts and Access

Account Registration

To access our platform, you must create an account and provide accurate, complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access
  • Ensuring your account information remains current and accurate
  • Complying with password security requirements and policies
  • Implementing appropriate multi-factor authentication when available
  • Regularly reviewing account activity and access logs
  • Promptly updating contact information and user permissions

Authorized Users

You may grant access to authorized personnel within your organization. You remain responsible for all activities of your authorized users and must ensure they comply with these Terms.

Account Suspension and Termination

We reserve the right to suspend or terminate accounts that violate these Terms or pose security risks to our platform or other users.

Acceptable Use Policy

You agree to use our platform only for lawful business purposes. You may not:

  • Violate any applicable laws, regulations, or third-party rights
  • Upload malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to our systems or other users' data
  • Reverse engineer, decompile, or attempt to extract source code
  • Use the platform to compete with our services or develop competing products
  • Share access credentials with unauthorized parties
  • Interfere with or disrupt the platform's operation
  • Engage in data mining or automated data extraction without permission
  • Attempt to circumvent security measures or access controls
  • Use the platform for illegal surveillance or monitoring activities
  • Transmit spam, unsolicited communications, or promotional materials
  • Impersonate other users or entities

Data Handling and Privacy

Your Data

You retain ownership of all data you upload to our platform. You grant us a limited license to process your data solely to provide our services. We will:

  • Process your data only as necessary to provide platform services
  • Implement appropriate security measures to protect your data
  • Not use your data for any purpose other than providing our services
  • Return or delete your data upon termination, as requested
  • Maintain data confidentiality and restrict access to authorized personnel
  • Comply with applicable data protection regulations
  • Provide data portability options upon reasonable request

Data Security

We implement industry-standard security measures, but you acknowledge that no system is completely secure. You are responsible for:

  • Ensuring you have the right to upload and process your data
  • Implementing appropriate internal security measures
  • Regularly backing up your critical data
  • Promptly reporting any suspected security incidents
  • Classifying and handling sensitive data according to your policies
  • Training your users on data security best practices

Service Availability and Support

We strive to maintain high platform availability but cannot guarantee uninterrupted service. We provide:

  • Target uptime of 99.9% excluding scheduled maintenance
  • Regular system updates and security patches
  • Customer support during business hours
  • Advance notice of scheduled maintenance when possible
  • Emergency support for critical issues
  • Status page updates during service disruptions
  • Service level agreements for enterprise customers
  • Disaster recovery and business continuity procedures

We reserve the right to modify, suspend, or discontinue any aspect of our services with reasonable notice.

Payment and Billing

Payment terms are specified in your service agreement. General terms include:

  • Fees are due according to your billing schedule
  • Late payments may result in service suspension
  • You are responsible for all applicable taxes
  • Refunds are provided according to our refund policy
  • Price changes require 30 days advance notice
  • Automatic renewal unless cancelled with proper notice
  • Pro-rated billing for mid-cycle changes
  • Disputed charges must be reported within 60 days
  • Payment methods must be kept current and valid

Intellectual Property Rights

The platform, including all software, content, and materials, is owned by MechTu Insights and protected by intellectual property laws. You receive a limited, non-exclusive license to use our platform according to these Terms.

You may not copy, modify, distribute, or create derivative works based on our platform without explicit written permission.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • OUR PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND
  • WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
  • OUR LIABILITY IS LIMITED TO THE AMOUNT YOU PAID FOR SERVICES IN THE 12 MONTHS PRECEDING THE CLAIM
  • WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
  • WE ARE NOT LIABLE FOR BUSINESS DECISIONS MADE BASED ON PLATFORM INSIGHTS
  • WE ARE NOT LIABLE FOR DATA LOSS DUE TO USER ERROR OR SYSTEM FAILURES
  • WE ARE NOT LIABLE FOR THIRD-PARTY INTEGRATIONS OR EXTERNAL SERVICES
  • WE ARE NOT LIABLE FOR REGULATORY COMPLIANCE OR AUDIT FAILURES

Termination

Either party may terminate this agreement with 30 days written notice. We may terminate immediately if you breach these Terms. Upon termination:

  • Your access to the platform will be suspended
  • You remain liable for all fees incurred before termination
  • We will provide data export capabilities for 30 days
  • Confidentiality obligations survive termination
  • All licenses granted to you will immediately cease
  • Outstanding payment obligations become immediately due
  • We may delete your data after the retention period

Governing Law and Disputes

These Terms are governed by the laws of California, United States. Any disputes will be resolved through binding arbitration in San Jose, California, except for claims involving intellectual property rights.
